Affiliate Program Terms

Last updated October 6, 2026Version 2026-10-01

TEMPLATE — requires review by a Swiss-qualified lawyer before publication. This document is a working draft prepared for MINON NAN. It is not legal advice. Values in [square brackets] are placeholders that must be completed and verified before the document is published or relied upon. The version identifier of this agreement (2026-10-01) is recorded when a partner accepts it.

1. Parties and subject matter

1.1 These Affiliate Program Terms (the "Agreement") are concluded between [MINON NAN legal entity], [address], Zug, Switzerland ("MINON NAN", "we") and the person or company admitted to one of our affiliate programmes (the "Partner", "you").

1.2 MINON NAN operates two affiliate programmes:

  • IAPRESALES — promotion of pre-orders and launches via iapresales.minonnan.com;
  • PARTNERS — promotion of the minonnan.com shop and collections (including MINON NAN Wool Lux via raminona.com).

A Partner may be admitted to one or both programmes. Unless stated otherwise, this Agreement applies to both.

1.3 The Partner promotes MINON NAN products using personal referral links and codes and receives a commission on qualifying sales. The Partner acts as an independent contractor. Nothing in this Agreement creates an employment relationship, partnership, joint venture or agency; the Partner has no authority to conclude contracts on behalf of MINON NAN.

2. Application and admission

2.1 Applications are submitted through partners.minonnan.com. Admission requires (a) a complete and truthful application, (b) acceptance of this Agreement and (c) approval by MINON NAN. We may decline applications without giving reasons.

2.2 The Partner must be at least 18 years old and, where acting as a business, duly registered. The Partner keeps the account information (including tax and bank details) accurate and up to date.

2.3 The Partner may be required to sign the Partner Confidentiality Agreement before receiving non-public information (for example launch dates or pre-order allocations).

3. Commission

3.1 The commission rate is 9 % (900 basis points) for each programme, unless a different rate is agreed in writing for a specific Partner or campaign. MINON NAN may change the standard rate with at least [30] days' notice by email; the change applies only to sales attributed after it takes effect.

3.2 The commission is calculated on the net merchandise value of the attributed order actually paid by the customer: the price of the goods after discounts, excluding VAT and other taxes, shipping costs, customs duties, gift-card purchases and payment surcharges. Amounts are calculated in integer minor units of the order currency (CHF or EUR) and rounded half away from zero to the nearest cent/rappen.

3.3 For pre-orders paid with a deposit, the commission is calculated on the net value of the full order but becomes payable only once the balance has been paid and the goods have been shipped. [to be confirmed]

3.4 No commission is payable on orders placed by the Partner itself or by persons in the Partner's household, on orders paid with codes not issued to the Partner, or on orders that are cancelled, not paid or fraudulent.

4. Attribution

4.1 A sale is attributed when the customer clicked the Partner's referral link (or used the Partner's code) and placed the order within the attribution window of 30 days after the click (the window may be configured per programme; the applicable value is shown in the partner portal).

4.2 Last click wins: if a customer clicked several Partners' links in the same programme, only the Partner whose link was clicked last before the order receives the commission.

4.3 Each order is attributed to at most one Partner per programme. An order may therefore generate at most one IAPRESALES commission and at most one PARTNERS commission.

4.4 Attribution relies on first-party cookies and click records. MINON NAN does not owe commission for sales that cannot be attributed for technical reasons outside its control (for example cookie blocking, cleared cookies or use of a different device), or where the customer refused the relevant cookies.

4.5 The data in MINON NAN's systems are authoritative for attribution and calculation. Objections must be raised in writing within [60] days of the relevant monthly statement.

5. Commission lifecycle and hold period

5.1 Each commission passes through the following statuses:

StatusMeaning
PendingOrder attributed and paid; refund hold period running
ApprovedHold period ended without refund; commission is payable
PaidIncluded in a payout that has been executed
ReversedOrder refunded, cancelled, charged back or found fraudulent

5.2 The hold period is 30 days from shipment of the order [or from payment, to be confirmed]. It covers the customer's withdrawal and return period.

5.3 A full refund reverses the commission. A partial refund reduces it proportionally. If a commission that has already been paid is subsequently reversed (for example after a chargeback or a statutory warranty claim), MINON NAN may offset the amount against future commissions or, if no future commissions arise within [90] days, request repayment.

6. Payouts

6.1 Approved commissions are paid out [monthly] by SEPA credit transfer (or a domestic Swiss transfer for CHF accounts) to the IBAN registered in the partner portal. Bank details are verified (IBAN check digits and BIC) and stored encrypted.

6.2 Payouts are made only when the approved balance reaches the minimum payout threshold of CHF/EUR 50.00 per currency. Lower balances are carried forward.

6.3 Payouts are made in the currency in which the commissions were earned (CHF or EUR). Bank charges of the Partner's bank and currency conversion costs are borne by the Partner. Where MINON NAN offers payouts through a payment service provider (for example Wise), the conditions displayed in the portal apply.

6.4 For each payout the Partner receives a statement (CSV/PDF) listing the commissions included.

6.5 MINON NAN may withhold payouts while account or tax information is missing or incorrect, or while a suspected breach of this Agreement is being investigated.

7. Taxes

7.1 The Partner is solely responsible for declaring and paying all taxes, social security contributions and duties on commissions received, in Switzerland and/or in its country of residence.

7.2 Commissions are understood [inclusive / exclusive] of VAT. A Partner registered for VAT must provide its VAT number; [where reverse charge applies, no VAT is added]. The Partner indemnifies MINON NAN against claims arising from its failure to meet its tax obligations.

7.3 MINON NAN may request tax information required by law and may report payments to authorities where legally required.

8. Promotion rules

8.1 The Partner promotes MINON NAN in a manner consistent with a luxury brand: truthful, respectful and lawful. The Partner uses only the brand assets, product information and prices supplied in the partner portal and keeps them current.

8.2 The Partner clearly discloses the commercial relationship in every promotion (for example "Ad", "Advertising", "affiliate link"), in accordance with the Swiss Unfair Competition Act (UCA), EU consumer law and the rules of each platform.

9. Prohibited practices

The following are prohibited and may lead to immediate termination and forfeiture of the affected commissions:

  • bidding on "MINON NAN", "RA MINONA", "Wool Lux", "raminona" or confusingly similar terms, or misspellings, in search-engine advertising, or using them in domain names, app names or social media handles;
  • cookie stuffing, forced clicks, hidden iframes, pop-unders, automatic redirects or any other technique that sets attribution without a genuine, conscious click;
  • self-referrals, orders by the Partner's household, fake or incentivised orders, and orders paid with stolen means of payment;
  • unsolicited mass emails, SMS or messaging (spam), and any communication without the recipient's consent where consent is required (art. 3(1)(o) UCA, GDPR, ePrivacy rules);
  • false, misleading or unsubstantiated claims, in particular health or medical claims about hydrogen water bottles, or claims about materials (pure wool, WOOLUX, hemp) beyond the official product information;
  • promotion on websites or channels with illegal, discriminatory, violent, sexual or otherwise harmful content, or targeting minors;
  • impersonating MINON NAN, creating sites that resemble the official shop, or presenting oneself as an official store or employee;
  • publishing coupon codes not issued to the Partner, or distributing exclusive codes on coupon sites without authorisation;
  • manipulating, scraping or reverse-engineering the partner portal or the tracking.

10. Intellectual property

MINON NAN grants the Partner a non-exclusive, non-transferable, revocable licence, limited to the term of this Agreement, to use the brand assets made available in the portal solely to promote MINON NAN under this Agreement. All rights remain with MINON NAN. Upon termination, the Partner removes all brand assets and links without delay.

11. Data protection

11.1 Each party is an independent controller for the personal data it processes. MINON NAN processes Partner data in accordance with its Privacy Policy. IBANs are stored encrypted and are shown masked.

11.2 The Partner does not receive personal data of customers. Statistics in the portal are aggregated or pseudonymised.

11.3 The Partner complies with data protection and cookie rules applicable to its own channels.

12. Confidentiality

Non-public information such as launch dates, pre-order volumes, commission conditions specific to the Partner and portal data is confidential. The Partner Confidentiality Agreement, where signed, prevails.

13. Liability and indemnity

13.1 MINON NAN does not guarantee any level of sales or income and is not liable for interruptions of the shop, the tracking or the portal, except in case of intent or gross negligence.

13.2 The liability of MINON NAN is limited to the commissions owed under this Agreement, except in case of intent or gross negligence or where mandatory law provides otherwise.

13.3 The Partner indemnifies MINON NAN against all third-party claims, fines and reasonable costs arising from a breach of this Agreement or of applicable law by the Partner.

14. Term and termination

14.1 This Agreement enters into force upon approval of the application and is concluded for an indefinite period.

14.2 Either party may terminate with [14] days' notice by email or through the portal. MINON NAN may terminate with immediate effect for good cause, in particular for any prohibited practice.

14.3 Upon ordinary termination, commissions on sales attributed before the effective termination date are paid once approved. Upon termination for good cause, pending and approved commissions related to the breach are forfeited.

15. Amendments

MINON NAN may amend this Agreement by notifying the Partner at least [30] days in advance. If the Partner does not object before the change takes effect, the amended version is deemed accepted; upon objection, either party may terminate. The version accepted is recorded with its version identifier.

16. Governing law and jurisdiction

16.1 This Agreement is governed by Swiss law, excluding conflict-of-law rules.

16.2 Exclusive place of jurisdiction is [Zug, Switzerland], subject to mandatory places of jurisdiction for consumers, if applicable.

16.3 If any provision is invalid, the remaining provisions remain in force; the invalid provision is replaced by a valid one that comes closest to its economic purpose.
