TEMPLATE — requires review by a Swiss-qualified lawyer before publication. This document is a working draft prepared for MINON NAN. It is not legal advice. Values in [square brackets] are placeholders that must be completed and verified before the document is published or relied upon.
1. Scope and contracting party
1.1 These General Terms and Conditions of Sale ("GTC") govern every sale and pre-order concluded through minonnan.com, its sub-domains (including iapresales.minonnan.com), the alias domain raminona.com (MINON NAN Wool Lux / RA MINONA) and the MINON NAN mobile application (together the "Shop").
1.2 The seller is [MINON NAN legal entity name, legal form], [street and number], [postcode] Zug, Switzerland, registered in the commercial register of the Canton of Zug under [UID CHE-xxx.xxx.xxx], VAT number [CHE-xxx.xxx.xxx MWST] ("MINON NAN", "we", "us"). Full details are set out in the Legal notice.
1.3 The Shop is directed at consumers and business customers in Switzerland, the Principality of Liechtenstein, the member states of the European Union and [other delivery countries] (the "Delivery Area"). A "consumer" is any natural person who purchases for purposes outside their trade, business or profession.
1.4 Conflicting or supplementary terms of the customer do not apply unless we have expressly accepted them in writing. Mandatory consumer protection rules of the customer's country of habitual residence remain unaffected (see section 14).
2. Products and presentation
2.1 The Shop offers, in particular: luxury sports shoes; hydrogen water bottles; apparel and accessories, some of which are shipped directly by selected partners ("dropship items"); and the MINON NAN Wool Lux collection (pure wool, pure WOOLUX, pure cotton and pure hemp garments, including maternity, infant and baby items).
2.2 Product images in the Shop may be illustrations. Natural fibres (wool, cotton, hemp) show slight variations in colour, texture and size that are characteristic of the material and do not constitute a defect.
2.3 Hydrogen water bottles are consumer products and are not medical devices. No statement in the Shop is intended to diagnose, treat or prevent any disease. Care and safety instructions supplied with the product must be followed.
2.4 Baby and infant items must be used in accordance with the enclosed care and safety instructions and under adult supervision.
3. Conclusion of contract
3.1 The presentation of products in the Shop is not a binding offer but an invitation to submit an order.
3.2 By clicking the final order button ("Order and pay" / "Pre-order and pay") you submit a binding offer to purchase the products in your basket. Before submitting you can review and correct all entries.
3.3 We send an automatic acknowledgement of receipt by email. This acknowledgement does not constitute acceptance. The contract is concluded when we confirm the order by email ("order confirmation"), or at the latest when we dispatch the goods.
3.4 We may decline an order, in particular where a product is not available, where there is an obvious pricing or typographical error, where delivery to the requested address is not possible, or where we reasonably suspect fraud. Any amount already paid is then refunded without delay.
3.5 The contract language is English or French, according to the language selected in the Shop. We store the contract text; you can view your orders in your customer account and receive the essential contract details in the order confirmation.
4. Prices and currencies
4.1 Prices are shown in Swiss francs (CHF) or euros (EUR), depending on the currency selected. The price applicable to the contract is the price shown at the time the order is submitted. Prices are calculated by our systems; any amount transmitted by the customer's device is disregarded.
4.2 For deliveries within Switzerland, prices include Swiss VAT at the applicable rate. For deliveries to the EU, prices include the VAT of the destination country where we are registered under the EU One-Stop-Shop scheme [to be confirmed]. Otherwise import VAT and customs duties may be charged by the carrier on delivery; the Shop indicates this before you order.
4.3 Shipping costs are shown separately in the basket and in the checkout before the order is submitted.
4.4 Discount and referral codes are valid only within their stated conditions, cannot be combined unless stated, and cannot be redeemed for cash.
5. Payment
5.1 Payments are processed by licensed payment service providers, currently Mollie B.V. (Amsterdam, Netherlands) and, as an alternative, Stripe Payments Europe Ltd. (Dublin, Ireland). We do not store full card data.
5.2 The payment methods offered (for example credit and debit cards, Apple Pay, PayPal, Alipay or TWINT) are those displayed at checkout. Their availability depends on the order amount, the currency and your country; TWINT is only available for payments in CHF.
5.3 The purchase price is due on submission of the order. The contract becomes effective subject to successful authorisation of the payment. If a payment fails or is reversed (chargeback), we may withhold or cancel delivery.
5.4 Payment amounts are charged in the currency displayed. Currency conversion fees charged by your bank or card issuer are borne by you.
6. Pre-orders
6.1 Certain products, in particular new releases and limited series, can be pre-ordered before they are in stock ("pre-order"). The product page and the checkout clearly mark a product as a pre-order and indicate the estimated availability or dispatch period.
6.2 For pre-orders you may choose, where offered, between:
- Full payment: the full purchase price is charged when the pre-order is submitted; or
- Deposit: a deposit of [30] % of the purchase price (the exact amount is shown at checkout) is charged when the pre-order is submitted, and the balance is due before dispatch.
6.3 When the product becomes available we inform you by email and request payment of the balance, with a payment link and a payment deadline of [14] days. If the balance is not paid within the deadline, we will send one reminder with a further period of [7] days. If the balance remains unpaid, we may withdraw from the contract; the deposit is then refunded in full, less [no deduction / documented costs incurred, to be decided with counsel]. (Note for counsel: confirm whether any retention of the deposit is permissible vis-à-vis EU consumers; the conservative default is a full refund.)
6.4 The estimated dispatch date is indicative. If it is expected to be exceeded by more than [30] days, we will inform you, and you may cancel the pre-order at any time before dispatch and receive a full refund of all amounts paid. If production of a pre-ordered product is cancelled, we refund all amounts paid without delay.
6.5 Until dispatch, you may cancel a pre-order at any time through your customer account or by contacting [support@minonnan.com]; all amounts paid (deposit or full price) are refunded in full. This right is in addition to the statutory right of withdrawal under section 9.
6.6 The price confirmed in the pre-order confirmation is guaranteed; subsequent price increases do not apply to you.
7. Delivery
7.1 We deliver within the Delivery Area to the address you provide. Delivery times shown in the Shop are estimates unless expressly stated as binding. Delivery to packing stations or P.O. boxes may be restricted.
7.2 Dropship items and items from different production batches may be shipped separately from different warehouses; this does not cause additional shipping costs for you.
7.3 If a product is unexpectedly unavailable through no fault of ours, we will inform you without delay and refund any payment made for that product.
7.4 For consumers, the risk of accidental loss or damage passes when the goods are handed over to you or to a person you designate. For business customers, risk passes upon handover to the carrier.
7.5 Please inspect deliveries for visible transport damage and report any damage to us as soon as possible; this helps us claim against the carrier and does not affect your statutory rights.
8. Retention of title
The goods remain our property until full payment of the purchase price.
9. Right of withdrawal (consumers in the EU, EEA and the United Kingdom)
9.1 Consumers resident in the EU, the EEA [or the United Kingdom] have a statutory right of withdrawal of 14 days without giving any reason. Details, exceptions and the model withdrawal form are set out in our Returns & Refunds Policy, which forms part of these GTC.
9.2 Swiss law does not provide a statutory right of withdrawal for online purchases. We nevertheless grant all customers, including customers in Switzerland, a voluntary return right of [30] days from delivery under the conditions of the Returns & Refunds Policy. This voluntary right does not restrict any statutory right.
10. Warranty (guarantee for defects)
10.1 Statutory warranty rights apply. For consumers in the EU, the statutory liability for lack of conformity is at least two years from delivery. For customers in Switzerland, the warranty period is [two years] from delivery (art. 210 Swiss Code of Obligations); in the case of a defect we will, at our choice, repair or replace the product, or reduce the price or cancel the sale where repair or replacement is not possible or fails. (Note for counsel: confirm whether the right to choose remedies may be retained vis-à-vis Swiss consumers.)
10.2 Normal wear, damage from improper use or care contrary to the care instructions (for example machine-washing wool not labelled as machine washable), and natural variations of natural fibres are not defects.
10.3 Any manufacturer's guarantee is in addition to, and does not limit, statutory warranty rights.
11. Liability
11.1 We are liable without limitation for damage caused intentionally or through gross negligence, for personal injury, and under mandatory product liability law.
11.2 For slight negligence we are liable only for breach of essential contractual obligations and limited to foreseeable damage typical for the contract. Liability for slight negligence is otherwise excluded to the extent permitted by law.
11.3 These limitations also apply to our employees, auxiliaries and agents.
12. AI concierge and recommendations
12.1 The Shop offers an AI-assisted concierge (chat) and product recommendations generated with the help of an AI model provided by Anthropic. Answers are generated automatically on the basis of our catalogue data and may be incomplete or inaccurate.
12.2 Binding information on products, prices, availability and delivery is exclusively that shown on the product page and at checkout and in our order confirmation. The concierge cannot conclude, modify or cancel contracts on our behalf.
12.3 Demand estimates or availability forecasts shown in connection with pre-orders are statistical estimates and not commitments.
13. Customer account
You are responsible for keeping your login credentials confidential. Notify us without delay if you suspect misuse. We may suspend accounts used fraudulently or in breach of these GTC.
14. Governing law and jurisdiction
14.1 These GTC and all contracts concluded under them are governed by Swiss substantive law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG) and conflict-of-law rules.
14.2 For consumers, this choice of law does not deprive you of the protection of the mandatory provisions of the law of the country in which you have your habitual residence.
14.3 Exclusive place of jurisdiction for business customers is [Zug, Switzerland]. Consumers may bring proceedings at their place of residence or at our registered office and may only be sued at their place of residence (art. 32 Swiss Civil Procedure Code; art. 18 Regulation (EU) 1215/2012 / Lugano Convention as applicable).
14.4 Online dispute resolution: [The European Commission's ODR platform was discontinued on 20 July 2025; counsel to confirm any replacement information obligation.] We are not obliged and not willing to participate in dispute resolution proceedings before a consumer arbitration board, unless required by law. [to be confirmed]
15. Final provisions
15.1 Should any provision of these GTC be or become invalid, the remaining provisions remain in force.
15.2 We may amend these GTC with effect for the future. The version in force at the time of your order applies to that order.
15.3 In case of discrepancies between language versions, the [English / French] version prevails, without prejudice to mandatory consumer law.
